Terms & Conditions

1. Business-to-Business Services

FhrimAICloud provides services exclusively to businesses, entrepreneurs, and legal entities. Services are not directed at consumers within the meaning of § 13 German Civil Code (BGB) or comparable consumer protection laws in other jurisdictions.

2. Scope of Services

FhrimAICloud provides advisory services, strategic guidance, enterprise technology consulting, and selective commercial representation support. Unless expressly agreed in writing, FhrimAICloud does not act as a manufacturer, importer, warehouse operator, or consumer-facing retailer.

Advisory services are provided based on professional expertise; however, no specific commercial outcome or market success is guaranteed.

3. Contracting Entity

For clients located within the European Union, contracts are entered into with:

4. Governing Law

Contracts with the German entity are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law provisions.

Contracts with the United States entity are governed by the laws of the State of Wyoming, United States of America, excluding conflict-of-law provisions.

5. Exclusive Jurisdiction

For contracts with the German entity, the exclusive place of jurisdiction shall be Wolfsburg, Germany, to the extent legally permissible.

For contracts with the United States entity, the exclusive venue shall be the competent courts of the State of Wyoming, USA.

6. Limitation of Liability

FhrimAICloud shall be liable without limitation only in cases of intent or gross negligence. In cases of ordinary negligence, liability shall be limited to foreseeable damages typical for the contract and shall not exceed the total contract value.

Liability for indirect damages, lost profits, or consequential damages is excluded to the extent permitted by law.

7. Intellectual Property

All content, materials, frameworks, methodologies, and documentation provided by FhrimAICloud remain the intellectual property of FhrimAICloud unless otherwise agreed in writing.

8. Force Majeure

FhrimAICloud shall not be liable for delays or failure to perform obligations resulting from events beyond reasonable control, including but not limited to acts of God, governmental restrictions, supply chain disruptions, or technical failures.

9. Severability

Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
